Terms of Service
The agreement between Hala Bot and the merchants who use it.
Last updated: 29 August 2026
1. Agreement
These terms govern your use of Hala Bot. By creating an account or using the service you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to do so.
If you do not agree with these terms, do not use the service.
2. What the service does
Hala Bot connects to your Instagram, Facebook Messenger or WhatsApp account, replies automatically to messages from your customers using an AI assistant, builds orders from those conversations, and presents them to you in a dashboard along with alerts and statistics.
You remain the seller in every transaction. Hala Bot is a tool that handles conversations; it is not a party to any sale, does not take payment from your customers, and does not deliver goods.
3. Your account
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your password secure and for everything done under your account.
- You must be operating a legitimate business, and be old enough to enter a contract in your country.
- Tell us promptly if you believe your account has been accessed without your permission.
4. Plans, billing and cancellation
- Plans are described on the pricing page, including the limits that apply to each — such as how many channels you may connect.
- Subscriptions are billed in advance for the period you choose and renew automatically unless you cancel.
- You can cancel at any time. Cancellation takes effect at the end of the period you have already paid for; the service continues until then.
- Fees already paid are not refundable except where the law requires it, or where we have failed to provide the service for an extended period.
- We may change prices. Existing subscribers will be told by email before a change applies to them, and it will not apply to a period already paid for.
5. Acceptable use
You may not use Hala Bot to:
- Send unsolicited bulk messages, or contact people who have not messaged you first.
- Sell anything illegal, or anything prohibited by Instagram, Facebook or WhatsApp's own policies.
- Impersonate another business or person.
- Deceive customers about prices, availability, delivery or the nature of what you are selling.
- Attempt to break, overload, reverse-engineer or gain unauthorised access to the service, or to reach another merchant's data.
- Resell or rebrand the service without our written agreement.
6. Your responsibilities as a merchant
- Everything in your catalogue — products, prices, descriptions, delivery fees — is yours, and you are responsible for its accuracy.
- You are responsible for fulfilling the orders the assistant collects, and for handling returns, complaints and refunds with your customers.
- You must comply with the platform policies of Instagram, Facebook and WhatsApp. A breach of theirs may cost you your connected account, which is outside our control.
- You must tell your customers that their messages are handled by an automated assistant, and comply with the data protection law that applies to you.
- You must have the right to connect the accounts you connect.
7. AI-generated replies
The assistant's replies are generated by an AI model. AI models make mistakes: a reply may be inaccurate, may misread what a customer meant, or may state something about a product or price that is wrong.
You are responsible for what the assistant says on your behalf. We strongly recommend that you monitor conversations in the dashboard, keep your catalogue accurate, and take over a conversation by hand whenever it matters. Every conversation can be paused and handled by a person, and the assistant can be switched off entirely at any time.
We do not guarantee that any particular reply will be correct, appropriate, or that it will result in a sale.
8. Dependence on other platforms
Hala Bot works through Instagram, Facebook Messenger and WhatsApp — all operated by Meta — as well as Google, which provides the AI model, and Telegram, which carries your alerts. Those platforms set their own rules, change their APIs, and may suspend access at their discretion.
If one of them changes or withdraws something the service relies on, parts of Hala Bot may stop working. We will adapt as quickly as we reasonably can, but we cannot be responsible for their decisions or outages.
9. Availability
We work to keep the service running continuously, but we do not promise uninterrupted or error-free operation. We may take the service down for maintenance, and we will try to do so at quiet times and to give notice where we can.
The service is provided "as is", without warranties of any kind beyond those that cannot be excluded by law.
10. Intellectual property
Hala Bot, its software, design, name and logo remain ours. These terms give you the right to use the service, not to own any part of it.
Your data stays yours — your catalogue, your conversations, your orders, your logo. You grant us only the permission needed to host and process that data in order to provide the service to you.
11. Limitation of liability
To the extent the law allows, we are not liable for lost profits, lost sales, lost data, or indirect or consequential losses arising from your use of the service — including losses caused by an incorrect AI reply, by a platform outage, or by a suspension of your account by Instagram, Facebook or WhatsApp.
Where we are liable, our total liability is limited to the amount you paid us in the three months before the event that caused the claim.
Nothing here excludes liability that cannot lawfully be excluded.
12. Suspension and termination
We may suspend or close an account that breaches these terms, that is being used unlawfully, or where non-payment continues after we have asked for it. Where circumstances allow, we will warn you first and give you a chance to put it right.
You may close your account at any time. On closure we delete your data as described in the Privacy Policy.
13. Changes to these terms
We may update these terms. The date at the top of this page shows when they last changed, and we will email merchants before a material change takes effect. Continuing to use the service after that means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the Republic of Iraq, and disputes fall to the courts of Baghdad, unless the law that protects you as a consumer requires otherwise.
